TOTUM Platform Registration Terms and Conditions

INTRODUCTION

These Terms & Conditions govern your use of the TOTUM platform (both TOTUM and TOTUM+ product variants) including the www.totum.com website, the TOTUM App, your digital TOTUM ID, your digital ISIC ID, your digital TOTUM Cashback VISA card, your digital Tastecard and your possession and use of any accompanying physical TOTUM Card and TOTUM PASS ID card.

The TOTUM platform is provided by OneVoice Digital Limited (company number 10842253) whose registered office is at Jactin House, 24 Hood Street, Manchester, M4 6WX (referred to in these Terms and Conditions as “us” and “we”).

“You” are the person who has registered for and paid to use the TOTUM platform. Where you are a third party registering for the TOTUM platform on behalf of another individual you confirm that you have brought these Terms and Conditions to the attention of that other individual and that the other individual has accepted these Terms and Conditions.

When you register for and pay to use the TOTUM+ product membership in addition to your entitlement to receive a physical TOTUM card from us, you are also purchasing an entitlement to a digital ISIC ID, a digital TOTUM Cashback VISA card, a physical TOTUM PASS ID and a digital Tastecard. In each case there may be additional eligibility criteria, such as for example your age or occupation, which may apply and which may mean that we are not able to provide you with a specific service. These additional eligibility criteria will have been clearly signposted during the registration process and on our Frequently Asked Questions ( FAQ ) page.

2. DEFINITIONS

In these Terms and Conditions:

“Agreement” means the agreement between us based on these Terms and Conditions;

“Brand” means a business or organisation offering to give a discount or promotional terms to you if you make a purchase of goods or services using your TOTUM or TOTUM+ product membership;

“ISIC ID” means any one of the following digital card products; the “International Student Identity Card” or “Digital ISIC ID”; or the “International Youth Travel Card” or “IYTC Card”; or the “International Teachers Identity Card” or “ITIC Card” all of which can be accessed via the TOTUM App and via the ISIC app. We issue these to those eligible as part of the TOTUM+ product membership pursuant to an agreement between us and ISIC Global Office B.V. a limited liability company incorporated in the Netherlands with its office at Starine Novaka, 1 11000 Belgrade, Serbia.

“Membership Organisation” means an organisation or community of which you are currently a member and which is determined by us as one whose members are currently entitled to TOTUM membership, such entitlement being subject to change from time to time. Membership Organisations may include but not be limited to; students’ unions, apprenticeship providers, royal societies, royal colleges, chartered societies, trade unions, private and public schools, colleges, universities and other educational institutions, government bodies, charities and other not-for-profit organisations and employees thereof.

“Online Payment Provisions” means the additional provisions contained in the schedule;

“Qualifying Course” means a course of study leading to an exam, qualification or test regulated by the Office of Qualifications and Examinations Regulation (Ofqual), the Scottish Qualification Authority, Qualifications Wales or the Council for the Curriculum, Examinations and Assessment of Northern Ireland;

“Specified Place of Study” means any of the following:

a school or further or higher education establishment in the United Kingdom, Isle of Man or Channel Islands;

a professional course provider approved by us for the purposes;

“Student” means a full-time student or a student who studies more than ten (10) hours per week for a minimum of twelve (12) weeks on a Qualifying Course at a Specified Place of Study in the United Kingdom, Isle of Man or Channel Islands;

“Tastecard” means the primarily food and drink category digital-only discount services, including app and website, operated by companies within the Ello Group Limited group of companies which is provided to you as part of your TOTUM+ product membership, and your use of which is additionally covered by terms and conditions published on the Ello Group Limited companies’ websites and in the Tastecard App.

“TOTUM App” means the personal mobile device application made available to you as part of the TOTUM platform;

“TOTUM Cashback” or “digital TOTUM Cashback VISA card” means the cash back services, including the app and website, operated by Pluxee UK Limited, which is provided to you as part of your TOTUM+ product membership and your use of which is additionally covered by terms and conditions published on the Pluxee UK Limited websites and in the Pluxee / Spree app.

“TOTUM platform” means the products and services provided by us under the TOTUM brand (both TOTUM and TOTUM+ product variants) including the www.totum.com website, your TOTUM App, your digital TOTUM ID, your digital ISIC ID, your digital TOTUM Cashback VISA card, your digital Tastecard and any accompanying physical TOTUM Card and TOTUM PASS ID card.

“TOTUM PASS ID” means the physical photo ID governed and approved by the PASS scheme (https://www.pass-scheme.org.uk) and provided to you by us as part of your TOTUM+ product membership and which may, amongst other things, be used by you to prove your age for the purposes of buying alcohol and/or other age-restricted goods and services and voting in local and national government elections.

“TOTUM” means the free-to-use digital-only version of the TOTUM platform;

“TOTUM+” means the paid-for version of the TOTUM platform;

AGREEMENT

When you sign up to use the TOTUM platform you are entering into a legally binding agreement with us. These Terms and Conditions set out that agreement. We therefore recommend that you read these Terms and Conditions prior to using our products or services.

You must accept these Terms and Conditions in order to complete your TOTUM platform registration, download the TOTUM App, receive your digital TOTUM ID and, in the case of TOTUM+ product membership, to obtain the physical TOTUM Card, digital ISIC ID, digital TOTUM Cashback VISA card, physical TOTUM PASS ID and your digital Tastecard. You must also comply with our TOTUM website terms and conditions, a copy of which can be found here: www.totum.com/terms-of-service.

All products containing Personal Identifiable Information (PII), i.e. any information that can be used to clearly identify an individual such as first name, last name, date of birth, photo and other personal information, are treated as personalised products and therefore are non-refundable.

You have the right to deactivate/delete your TOTUM membership at any time. Details of how to request account deletion can be found on our Frequently Asked Questions ( FAQ ) page.

4. YOUR COMMITMENTS TO US

You represent and warrant to us as follows;

that you are either;

a Student at the time of completing your TOTUM platform registration and that you intend to remain a Student for the term of your TOTUM platform use; or

that you are a current member of an eligible Membership Organisation and that you intend to remain so for the term of your TOTUM platform use; and

that you are at least sixteen (16) years of age at the time you complete the TOTUM platform registration; and

that you represent and warrant to us that you have completed all the information given to us during the registration process truthfully and accurately; and

that any supporting documentation you have supplied is accurate and representative of you and your circumstances; and

that you will not permit anyone else to use your TOTUM ID or your TOTUM PASS ID or your TOTUM Card to seek a discount or promotion offered by a Brand or for any other reason.

We may cancel your TOTUM platform registration, revoke your TOTUM ID and your TOTUM Card if any of the above warranties are not respected or fulfilled.

5. USE OF THE TOTUM PLATFORM

In order to make best use of and enjoy the full benefits of the TOTUM platform, you must first register via our www.totum.com website or via the TOTUM App, completing all steps in the registration process including the submission of a passport quality photograph of your face and entering your address and contact details.

There are two types of TOTUM product memberships available; “TOTUM” which is digital only and which is provided at no cost to members and “TOTUM+” which involves payment of a fee. TOTUM+ product members get access to enhanced platform features, benefits and discounts. You can upgrade from TOTUM to TOTUM+ at any time.

If you have chosen the TOTUM product, following successful completion of your registration for the TOTUM platform, you will receive your digital TOTUM ID in the TOTUM App.

If you have chosen the TOTUM+ product, following successful completion of your registration for the TOTUM platform, you will receive your digital TOTUM ID and digital ISIC ID (if eligible) in the TOTUM App, your physical TOTUM Card (including TOTUM PASS ID, if applicable) by post, and instructions via email explaining how to activate your digital Tastecard and your digital TOTUM Cashback VISA card.

You agree that your use of the www.totum.com website, TOTUM App, digital TOTUM ID and physical TOTUM Card, physical TOTUM PASS ID, digital TOTUM Cashback VISA card, digital ISIC ID and digital Tastecard will be in accordance with these Terms and Conditions and that the TOTUM ID, TOTUM Card, TOTUM PASS ID, TOTUM Cashback, ISIC ID, and Tastecard are personal and not transferable.

The TOTUM platform allows you to obtain access to discounts or promotions offered by Brands from time to time. You obtain a discount or promotion by presenting your TOTUM Card in-person or by using your TOTUM ID via the www.totum.com website or via TOTUM App on your mobile device to identify yourself to a Brand, at the point of sale, ordering or purchasing the relevant goods or services from the Brand.

We may receive a payment from the Brands for including them on the TOTUM platform. You can see a list of some of the discounts and promotions of Brands on our website at any time. While we use our reasonable efforts to keep that website up to date we do not guarantee to do so, further those discounts and promotions that appear on our website and platform may vary from time to time as these may be changed by Brands without notice at any time.

We endeavour to ensure that every Brand accepts the TOTUM ID on your mobile device as well as the TOTUM Card in-person, but we do not guarantee that this will always be the case. Where we know that a Brand does not accept the TOTUM App, we will use reasonable endeavours to indicate that this is the case on our TOTUM website and/or TOTUM App.

We are not responsible for the provision of any goods, discount, benefit or other service by a Brand.

We are not a guarantor of nor are we responsible in any way for (i) the provision of any goods or services by a Brand or any other third party or (ii) anything arising out of the provision of those goods or services.

The TOTUM Card and TOTUM ID are not designed to be used with discount, store and loyalty card aggregation or conglomeration services or apps such as Stocard or Fidme. A Brand may refuse to accept a TOTUM Card or TOTUM ID stored on an app such as Stocard or Fidme.

The TOTUM Card or TOTUM ID is not a proof-of-age product. However the TOTUM PASS ID can be purchased as part of a TOTUM+ product membership or as part of a standalone upgrade and this product is a legally acceptable Proof of Age card and is supported by the Home Office, Police and many government organisations and retailers.

6. TOTUM APP

We grant you a personal, non-exclusive, non-transferable, revocable licence to download, install and use the TOTUM App in order to make use of the TOTUM platform. The TOTUM App may only be used for identifying Brands and presenting your TOTUM ID to a Brand in order to obtain the offered discount or promotion.

This licence is subject to the following conditions: (a) your use of the App is solely for your personal, non-commercial use: (b) you will not duplicate, transfer, give access to, copy or distribute any part of the App in any medium without OneVoice Digital’s prior written authorisation; (c) you will not attempt to reverse engineer, alter or modify any part of the App; and (iv) you will otherwise comply with the terms and conditions of these Terms and Conditions.

You acknowledge that your agreement with your mobile network provider (“Mobile Provider”) will apply to your use of the TOTUM App and that you may be charged by the Mobile Provider for data services while using the TOTUM App and you accept responsibility for such charges. If you are not the bill payer for the device being used to access the TOTUM App, you will be assumed to have received permission from the bill payer for using the App.

We will use our reasonable endeavours to always make the TOTUM App available to you, but we cannot guarantee an uninterrupted or fault-free service.

We reserve the right to make changes to the TOTUM App from time to time including, without limitation, the removal, modification and/or variation of any elements, features, and functionalities of the TOTUM App.

7. THE ISIC ID AND TOTUM CARD

Following your successful completion of the TOTUM platform registration process, we will use our reasonable endeavours to despatch a physical TOTUM Card to you within fourteen (14) days. The digital ISIC ID will be available via the TOTUM App once the platform registration is complete.

We are under no obligation to send you a physical TOTUM Card until you have successfully completed the registration process which may, if you have so chosen, include your application for a TOTUM PASS ID.

The TOTUM Card is issued with a digital ISIC ID accessible via the TOTUM App. There is no additional charge for issuing a TOTUM Card with a digital ISIC ID. However, while your TOTUM platform registration (and the accompanying TOTUM Card) can be issued for longer than a year, the digital ISIC ID can only be issued for a period of one year at a time.

The ISIC ID certification is pursuant to an agreement between us and ISIC Global Office B.V. a limited liability company registered in the Netherlands with its office at Starine Novaka, 1 11000 Belgrade, Serbia.

The production of the TOTUM Card is undertaken by a United Kingdom-based bank card manufacturer.

8. THE TOTUM PASS ID AND TOTUM CARD

Following your successful completion of the TOTUM platform registration process, we will use our reasonable endeavours to despatch a physical TOTUM Card to you within fourteen (14) days. If you have selected to include TOTUM PASS ID in your platform registration, this will be provided on the reverse of the TOTUM Card.

We are under no obligation to send you a physical TOTUM PASS ID card until you have successfully completed the registration process.

There is no additional charge for issuing a TOTUM Card with a TOTUM PASS ID card.

The TOTUM PASS ID certification is pursuant to an agreement between us and PASSCO C.I.C, registered company number 04570623, at Poppleston Allen, 37 Stoney Street, Nottingham, England, NG1 1LS.

Any attempts to verify using a doctored, tampered or falsified document will be immediately rejected and will be liable to be reported directly to Action Fraud. Requests to re-open rejected application attempts may require details to be manually verified by your place of study, following your consent to do so.

9. TOTUM PLATFORM FEE

Any fee to register for use of the TOTUM platform is indicated when you complete the TOTUM platform registration.

Should a fee be required, payment in full is a condition precedent to your successful completion of the TOTUM platform registration. If you do not pay for your TOTUM platform, for example because your credit card payment is not honoured, we may cancel your use of the TOTUM platform.

We may at our discretion revise the price of use of the TOTUM platform from time to time, but any change will not affect the price for your then current use of the TOTUM platform, but the revised price will apply to any renewal of your TOTUM platform registration.

You must pay us any fee and any delivery charges due for your use of the TOTUM platform as indicated during the registration process. You shall remain liable for payment until we are in receipt of cleared funds.

Payment is due immediately upon registration for TOTUM+ product membership, the paid product.

Payment must be made in full without any deductions.

10. DURATION OF YOUR TOTUM PLATFORM USE

Your use of the TOTUM platform pursuant to these Terms and Conditions is valid for the term of your registration.

For TOTUM product members, this is an initial twelve (12) months term from the date of completion of your registration; and this term can be extended by additional 12 months periods for so long as you are still eligible for the TOTUM platform by way of your continued Student status or current membership of an approved Membership Organisation.

For TOTUM+ product members, the term will be the term you agreed to during the registration process.

Unless you renew your TOTUM+ product membership before the date of expiry, once it has expired, you will automatically become a TOTUM product member.

The digital ISIC ID will be valid for twelve (12) months from the date stated on the digital ISIC ID. On expiry of the twelve (12) months, you must apply for a replacement digital ISIC ID if you wish to continue using the ISIC ID.

You can renew your TOTUM platform registration at any time within a period of one hundred and twenty (120) days prior to the date of expiry of your existing TOTUM platform registration provided that:

You are a Student at the time of renewing your TOTUM platform registration and intend to remain a Student for the duration of your renewed TOTUM platform use.

You are a current member of an approved Membership Organisation at the time of renewing your TOTUM platform registration and intend to remain as such for the duration of your renewed TOTUM platform use.

11. CANCELLATION OF THE TOTUM PLATFORM REGISTRATION

We may cancel your TOTUM platform registration in the circumstances mentioned in these Terms and Conditions.

We may cancel your TOTUM platform registration where you cease to be a Student or a current member of an approved Membership Organisation. We may cancel your TOTUM platform registration if any of the warranties you have given in clause 4 of these Terms and Conditions are incorrect or if we suspect fraud or other inappropriate use of the TOTUM platform.

We may cancel your TOTUM platform registration if you breach any other provision of these Terms and Conditions (or any provision of the TOTUM website terms and conditions, a copy of which can be found here: www.totum.com/terms-of-service) and, in the case of a breach capable of being remedied, you do not remedy the breach within twenty-one (21) days of our requesting you to remedy the breach.

Your TOTUM Card at all times remains our property. You have a licence to keep and use it for so long as the TOTUM Card is not cancelled. If we cancel the TOTUM Card, you must immediately return the TOTUM Card to us to our registered office address which is given in clause1 of these Terms and Conditions. Your continued use of the TOTUM Card after its cancellation may constitute a fraud.

For the avoidance of doubt, where we cancel your TOTUM platform registration your digital TOTUM ID will be void and you will not be able to use the TOTUM App or website and your physical TOTUM PASS ID and your digital ISIC ID will be cancelled.

12. REPLACEMENT, RENEWAL AND STOLEN CARDS

If you lose or damage your TOTUM Card and/or any associated TOTUM PASS ID, we can replace the TOTUM Card. If your TOTUM Card has been damaged, you must return the damaged card to us.

If your TOTUM Card and/or any associated TOTUM PASS ID is stolen, we can send you a free replacement if you provide us with your crime reference number. If you do not have a crime reference number, you will need to order and pay for a replacement TOTUM Card.

13. PERSONAL INFORMATION

We respect your personal information and take appropriate steps to use it only as set out in these Terms and Conditions and to keep it safe. All personal data is processed by us and retained in accordance with our Privacy Policy.

We will use your personal information to fulfil contractual obligations we may owe to you, to your Specified Place of Study, to your Membership Organisation and to the Brands and for our legitimate business interests and as consented to by you.

We will pass on personal information to companies in the Ello Group Limited group of companies in order to supply your digital Tastecard.

We will pass on personal information to Pluxee UK Limited in order to supply your digital TOTUM Cashback VISA card.

We will pass on personal information to ISIC Global Office B.V. (a limited liability company incorporated in the Netherlands with its office at Starine Novaka, 1 11000 Belgrade, Serbia) in order to supply your digital ISIC ID.

We will pass on personal information to the manufacturer of the TOTUM Card and any associated TOTUM PASS ID.

We will pass on personal information to any other service provider we use in order to supply the TOTUM platform and related services, such as the company that hosts our cloud-based computing infrastructure and activities. Where we pass your data to such a third party, we will ensure that the third party is subject to an agreement that ensures the correct processing of your data both in accordance with these terms, the data protection legislation and our Privacy Policy. Where you have asked us to pass on personal information to a third party, we may also pass your personal information to that third party.

14. CONTRACTS (RIGHTS OF 3RD PARTIES ACT 1999)

A third party shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of this Agreement.

15. WHOLE AGREEMENT AND REPRESENTATIONS

These Terms and Conditions set out the entire agreement between us relating to the TOTUM platform registration and use of the TOTUM platform and our products and services.

This Agreement supersedes all previous written or other documents or agreements (written or oral) relating to the subject matter of this Agreement including without limitation all other information on our website and TOTUM App regarding the TOTUM platform. You acknowledge that in entering into this Agreement you have not relied upon any representations other than those reduced to writing in these Terms and Conditions. The provisions of this clause 15 shall not apply to any fraudulent misrepresentation.

Notwithstanding the above, your use of our website at www.totum.com is also governed by the TOTUM website terms and conditions.

16. MISCELLANEOUS

In the event of any conflict between these Terms and Conditions and any web page linked to by these Terms and Conditions, the provisions of these Terms and Conditions shall prevail.

We may assign the whole of this Agreement as we in our discretion see fit.

We may sub-contract any of our rights and obligations under this Agreement as we in our discretion see fit.

Our failure at any time to enforce a provision of this Agreement shall not be deemed a waiver of such provision or of any other provision of this Agreement or of our right thereafter to enforce that or any other provision of this Agreement.

The formation, construction, performance, validity and all aspects of these Terms and Conditions and the Agreement shall be governed by English Law and each of us hereby submits to the non-exclusive jurisdiction of the English courts.
